This pioneering move means that Nucletron® is the only oncology care manufacturer which is able to offer a totally integrated information management solution that links data between radiotherapy and oncology departments, tailored to the requirements of each individual hospital or clinic. About Nucletron’s® acquisition of Oncentra® By far the greatest part of the purchase price was paid to acquire the intellectual property represented in the software. The transaction involves a sum of over EUR 21 million, including the counter-value of 180,000 depositary receipts for shares in Delft Instruments N.V., for which a promissory note has been issued. The cash element of the transaction was paid from available funds. The interest-free promissory note issued as part of the transaction will have a term of at least 6 months for the counter-value of 90,000 depositary receipts and a term of 12 months for the counter-value of the other 90,000 depositary receipts. The acquisition of Oncentra® is an excellent fit in Delft Instruments’ strategy of focusing on expanding software and software development activities within the Delft Medical and Delft Industrial sectors. This acquisition also meets the needs of customers for complete solutions offering integrated systems and software. The Oncentra® business will be integrated into the subsidiary Nucletron® B.V., which, in consequence, will immediately become one of the largest players in radiotherapy software. The Oncentra® concept offers a wealth of additional functionality to both Nucletron’s and Oncentra’s existing treatment planning software customers.
